About These Terms
These Terms of Use (Terms) govern your access to, and your use of, the website operated by tekFoundation Australia Limited (ABN 21 679 029 826) (tekFoundation, we, us, our) at https://www.tekfoundation.org.au/ (Website).
tekFoundation is a company limited by guarantee and a registered charity. We operate a skilled volunteering platform that facilitates the introduction of skilled professionals to Charities.
By accessing or using the Website, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Website.
We may amend these Terms at any time by posting the updated version on our Website with a revised "Last updated" date. Your continued use of the Website following any amendment constitutes your acceptance of the revised Terms.
Definitions
In these Terms:
Charity means a charity or not-for-profit organisation that uses or seeks to use the Platform to be matched with a Volunteer.
Expression of Interest or EOI means a submission made through the Website by a Volunteer or Charity expressing interest in participating in the Platform.
Member means a Charity that has entered into a Membership Agreement and is a current, financial member of tekFoundation.
Membership Agreement means the separate agreement between tekFoundation and a Charity governing membership tiers, fees, and benefits.
Platform means tekFoundation's web-based skilled volunteering platform through which Volunteers are matched with Members, including any associated community features.
Volunteer means an individual IT professional who registers directly with tekFoundation or whose participation is arranged or facilitated under a separate corporate partnership agreement between tekFoundation and that individual's employer to serve as a volunteer providing services to a Member.
Volunteer Agreement means the separate agreement entered into between tekFoundation and a Volunteer governing the terms of their engagement.
The Platform and How It Works
The Website allows Volunteers and Charities to submit an Expression of Interest to participate in the Platform.
Following receipt of an EOI, tekFoundation will:
assess the EOI;
conduct preliminary assessments of the Volunteer or Charity (as applicable); and
conduct an interview with the Volunteer or Charity.
Subject to the outcome of this assessment process, tekFoundation may (at its sole discretion) match a Charity with a skilled Volunteer to provide support on a digital project.
Submission of an EOI does not guarantee acceptance onto the Platform or a match with a Volunteer or Charity. tekFoundation reserves the right to decline any EOI in its absolute discretion without providing reasons.
If tekFoundation decides to proceed following the assessment process, the following must be completed before full access to the Platform is granted:
Volunteers must enter into a Volunteer Agreement with tekFoundation; and
Charities must enter into a Membership Agreement with tekFoundation.
Those agreements are separate to these Terms and will govern the ongoing relationship between you and tekFoundation.
Membership
tekFoundation offers a membership model for Charities, under which Charities may sign up to different membership tiers in exchange for the payment of a membership fee (whether paid by the Charity directly or on its behalf by a third party, including through a scholarship, sponsorship, or partnership arrangement).
Membership tiers, fees, benefits (including the number of digital initiatives a Member may be supported on per year, access to events, and referrals to service providers), and other details are set out in the Membership Agreement.
Nothing on the Website constitutes an offer capable of acceptance. Any information about membership tiers, fees, or benefits displayed on the Website is indicative only and subject to the terms of the Membership Agreement.
To the extent that any fees are payable in connection with membership or services offered through the Website, refunds are governed solely by the Membership Agreement. Any information regarding refunds displayed on the Website is indicative only. Nothing in these Terms or the Membership Agreement excludes, restricts, or modifies any right or remedy, or any guarantee, warranty, or other term or condition implied or imposed by the Australian Consumer Law or any other applicable law that cannot be excluded, restricted, or modified by agreement.
Expression of Interest
When submitting an EOI through the Website, you represent and warrant that:
all information you provide is true, accurate, complete, and not misleading;
you have the authority to submit the EOI on behalf of yourself or (if applicable) the organisation you represent;
you are at least 18 years of age; and
you will promptly update any information that becomes inaccurate or incomplete.
We rely on the information you provide in the EOI for the purposes of our assessment and matching processes. You acknowledge that providing false, incomplete, or misleading information may result in:
your EOI being declined;
your access to the Platform being suspended or terminated; and/or
any match being cancelled.
Acceptable Use
You agree to use the Website only for lawful purposes and in accordance with these Terms.
You must not:
use the Website in any way that breaches any applicable law or regulation;
use the Website in any way that is fraudulent or deceptive, or has any fraudulent or deceptive purpose or effect;
use the Website to impersonate any person or entity, or misrepresent your affiliation with any person or entity;
submit an EOI or other information that is false, misleading, or that you are not authorised to submit;
transmit or procure the sending of any unsolicited or unauthorised advertising, promotional material, or spam;
knowingly introduce viruses, trojans, worms, logic bombs, or other material that is malicious or technologically harmful;
attempt to gain unauthorised access to the Website, the server on which the Website is hosted, or any server, computer, or database connected to the Website;
use any automated means (including bots, scrapers, or spiders) to access the Website or collect content from it without our prior written consent;
interfere with or disrupt the integrity or performance of the Website; or
use the Website to collect or harvest personal information about other users.
You must not submit, upload, post, or transmit any content through the Website that:
is defamatory, obscene, offensive, inflammatory, or unsuitable for persons under 18 years of age;
is xenophobic, racist, abusive, harassing, threatening, or hateful;
is invasive of any person's privacy;
may bring tekFoundation, its partners, or other users into disrepute or cause negative exposure; or
may cause tekFoundation or any other user to incur liability to a third party.
If tekFoundation requests that you cease any particular conduct in connection with your use of the Website, you must immediately comply with that request. Failure to comply constitutes a breach of these Terms.
Accounts
Certain features of the Website (including submission of an EOI) may require you to create an account or provide identifying information. You agree to:
provide accurate, current, and complete information;
maintain and promptly update your information to keep it accurate, current, and complete; and
maintain the security and confidentiality of any login credentials associated with your account.
You are responsible for all activities that occur under your account. You must notify us immediately at hello@tekfoundation.org.au if you become aware of any unauthorised use of your account or any other breach of security.
We reserve the right to suspend or terminate your account at any time if we reasonably believe you have breached these Terms.
You must be at least 18 years of age to create an account or use any interactive feature of the Website (including community forums and profile creation).
Events and Third-Party Integrations
The Website may from time to time facilitate event registrations, ticket purchases, or bookings through third-party platforms (including, without limitation, event management services such as Humanitix) (Event Platforms).
Where you access or transact through an Event Platform via the Website:
your use of the Event Platform will be subject to that platform's own terms and conditions and privacy policy;
we are not responsible for the operation, availability, or content of any Event Platform; and
any transaction you enter into via an Event Platform is between you and the relevant Event Platform operator (and/or event organiser). We accept no liability in connection with such transactions except to the extent required by law.
We will endeavour to make clear when you are being redirected to or transacting through a third-party platform.
Affiliate and Referral Arrangements
The Website may feature links, discount codes, or promotional offers provided by or in connection with third-party partners, service providers, or affiliates (Partners).
Any products or services offered by Partners are subject to the relevant Partner's own terms and conditions. We do not guarantee, endorse, or accept liability for any products, services, or content provided by Partners.
Any discount codes or promotional offers made available through the Website:
may be subject to specific conditions of use (including expiry dates, eligibility requirements, or usage limits);
are not transferable or redeemable for cash unless expressly stated; and
may be varied or withdrawn at any time without notice.
Member Discounts and Benefits
Members may be entitled to discounts or benefits in connection with services provided by tekFoundation or third parties, as described in the applicable Membership Agreement.
Any discounts or benefits referred to on the Website are subject to and governed by the Membership Agreement. In the event of any inconsistency between information on the Website and the Membership Agreement, the Membership Agreement prevails.
Intellectual Property
All content on the Website (including text, graphics, logos, images, photographs, video, software, and underlying code) (Website Content) is owned by tekFoundation or its licensors and is protected by applicable intellectual property laws.
You may view, download, and print Website Content for your personal, non-commercial use only, provided you do not modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any Website Content without our prior written consent.
The tekFoundation name, logo, and associated branding are our trade marks (whether registered or unregistered). You must not use them without our prior written consent.
Nothing in these Terms grants you any right, title, or interest in or to any intellectual property owned by or licensed to tekFoundation.
You retain ownership of any content you submit, post, or upload to the Website (including through an EOI, community forum, or profile) (User Content). By submitting User Content, you grant tekFoundation a non-exclusive, royalty-free, worldwide licence (with the right to sublicence) to use, reproduce, modify, adapt, publish, display, and distribute that User Content for the purposes of operating the Website, providing and administering the Platform, and exercising tekFoundation's rights and performing its obligations under these Terms.
You represent and warrant that you own or otherwise control all necessary rights in and to any User Content you submit and that the submission of such User Content does not infringe the intellectual property rights or other rights of any person.
Third-Party Links
The Website may contain links to third-party websites, platforms, or resources. These links are provided for convenience only and do not imply endorsement by tekFoundation.
We have no control over the content, availability, or practices of third-party websites and accept no responsibility for them or for any loss or damage that may arise from your use of them. You access third-party websites at your own risk.
Privacy
We collect, use, hold, and disclose personal information in accordance with our Privacy Policy, available at https://www.tekfoundation.org.au/privacy.
By using the Website (including by submitting an EOI), you acknowledge that you have read and understood our Privacy Policy and consent to the collection, use, and disclosure of your personal information as described in it.
Without limiting the Privacy Policy, you acknowledge that information you provide through the Website (including in an EOI) may be used by tekFoundation for the purposes of assessing your suitability for the Platform, conducting due diligence, facilitating matches, and administering the Platform.
The Website uses cookies and similar tracking technologies to enhance your experience, analyse Website traffic, and for other purposes described in our Privacy Policy. By continuing to use the Website, you acknowledge and agree to our use of cookies in accordance with our Privacy Policy. You may manage your cookie preferences through your browser settings; however, disabling cookies may affect the functionality of the Website. Where the Website integrates third-party platforms, those platforms may also deploy their own cookies, which are subject to the relevant third party's privacy policy.
Disclaimers
The Website and all Website Content are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we make no representations or warranties of any kind, express or implied, regarding the Website, including as to:
the accuracy, completeness, reliability, or currency of any Website Content;
the availability, uninterrupted operation, or security of the Website;
the absence of errors, defects, viruses, or other harmful components; or
the suitability of any Volunteer or Charity for a particular project or purpose.
Your access to, and use of, the Website is at your own risk. tekFoundation does not assume any responsibility or liability for any loss or damage arising from your use of, or reliance on, the Website or any Website Content.
Nothing on the Website constitutes professional advice of any kind (including legal, financial, tax, or technical advice). You should obtain independent professional advice before acting on any information obtained from the Website.
tekFoundation does not guarantee that:
any Volunteer or Charity will be accepted onto the Platform;
a match will be made; or
any digital project will be completed to a particular standard or within a particular timeframe.
Once tekFoundation facilitates a match between a Volunteer and a Charity, tekFoundation has no ongoing role in, and accepts no responsibility or liability for, the relationship between the Volunteer and the Charity or the conduct, performance, or outcome of any project undertaken pursuant to that match. Any ongoing obligations between tekFoundation and a Volunteer or Charity are governed solely by the applicable Volunteer Agreement or Membership Agreement (as the case may be).
Limitation of Liability
To the maximum extent permitted by law, tekFoundation and its directors, officers, employees, agents, and volunteers (tekFoundation Parties) exclude all liability (whether in contract, tort (including negligence), statute, or otherwise) for any loss or damage arising out of or in connection with:
your use of, or inability to use, the Website;
any reliance on content on the Website;
any EOI submitted through the Website;
any decision to accept or decline an EOI;
any match (or failure to match) facilitated through the Platform; or
any act or omission of any Volunteer, Charity, or third party.
Without limiting clause 15.1, the tekFoundation Parties exclude all liability for:
any indirect, incidental, special, consequential, or punitive damages;
any loss of profits, revenue, data, goodwill, or anticipated savings; and
any loss arising from circumstances beyond their reasonable control.
Where any applicable law (including Schedule 2 of the Competition and Consumer Act 2010 (Cth) (Australian Consumer Law)) implies conditions, warranties, or guarantees into these Terms that cannot be excluded (Non-Excludable Guarantees), TekFoundation's liability for breach of a Non-Excludable Guarantee is limited (at its option) to:
in the case of services: the re-supply of the services or payment of the cost of having the services re-supplied; and
in the case of goods: the replacement or repair of the goods, or payment of the cost of replacing or repairing the goods.
Nothing in these Terms is intended to exclude or limit liability that cannot be excluded or limited under applicable law.
Indemnity
You agree to indemnify, defend, and hold harmless the tekFoundation Parties from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
your breach of these Terms;
your negligent or unlawful use of the Website;
any information you submit through the Website (including an EOI) being false, misleading, or inaccurate;
your violation of any applicable law or regulation; or
your infringement of the rights of any third party.
The indemnity in clause 16.1 does not apply to the extent that any claim, loss, liability, damage, cost, or expense is caused by or attributable to the negligence or wilful misconduct of tekFoundation.
Suspension and Termination
We may at any time, with or without notice, suspend, restrict, or terminate your access to all or any part of the Website if:
we reasonably believe you have breached these Terms;
we are required to do so by law;
we discontinue the Website or any part of it; or
for any other reason, acting reasonably and so far as is practicable, on reasonable notice.
Upon termination or suspension of your access, you must immediately cease using the Website.
tekFoundation reserves the right to modify, update, suspend, withdraw, or disable access to any part of the Website, or any feature, functionality, or content available through the Website, at any time. Where reasonably practicable, tekFoundation will provide reasonable prior notice of any material modification, suspension, or withdrawal that affects your access to the Platform or your account. tekFoundation will not be liable to you or any third party for any such modification, suspension, withdrawal, or disabling of access.
You may request the closure of your account or withdrawal of your EOI at any time by contacting us at hello@tekfoundation.org.au. Upon receipt of such a request, tekFoundation will close your account and cease processing your EOI (if applicable) within a reasonable period. Following account closure or withdrawal of an EOI, tekFoundation will handle your personal information in accordance with its Privacy Policy and applicable law, including the Australian Privacy Principles. Account closure does not affect any rights or obligations that have accrued prior to the date of closure, and does not entitle you to any refund of fees already paid (except to the extent required by the Australian Consumer Law or the applicable Membership Agreement).
Clauses that by their nature should survive termination (including clauses 13, 15, 16, 17, 18, 19) will continue in full force and effect.
General
Entire agreement: These Terms, together with the Privacy Policy and any other documents expressly referred to in them, constitute the entire agreement between you and tekFoundation regarding your use of the Website (but not the Platform, which is governed by separate agreements).
Relationship of documents: In the event of any inconsistency between these Terms and a Membership Agreement or Volunteer Agreement entered into between you and tekFoundation, the Membership Agreement or Volunteer Agreement (as applicable) prevails to the extent of the inconsistency.
Severability: If any provision of these Terms is found to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, that provision will be severed and will not affect the validity and enforceability of the remaining provisions.
Waiver: A failure or delay by tekFoundation in exercising any right, power, or remedy under these Terms does not operate as a waiver of that right, power, or remedy.
Assignment: You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. tekFoundation may assign or transfer its rights and obligations under these Terms to a related body corporate or in connection with a restructure, merger, or transfer of its undertaking without your consent.
No partnership or agency: Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and tekFoundation, or between any Volunteer and any Charity.
Force majeure: tekFoundation will not be liable for any failure or delay in performing its obligations under these Terms (including any failure or interruption in the availability of the Website) to the extent that such failure or delay is caused by circumstances beyond tekFoundation's reasonable control, including (without limitation) internet or telecommunications failures, cyberattacks, power outages, natural disasters, pandemics, epidemics, acts of war or terrorism, industrial action, or government orders or restrictions. For the duration of any such event, tekFoundation's affected obligations are suspended.
Complaints
If you have a complaint about the Website, the Platform, or tekFoundation's services (other than a complaint about the handling of your personal information, which is dealt with under our Privacy Policy), you may submit your complaint in writing to us at hello@tekfoundation.org.au.
We will use reasonable endeavours to investigate and resolve your complaint promptly.
If you are not satisfied with our response to your complaint, you may escalate the matter in accordance with clause 20 (Dispute Resolution).
Dispute Resolution
If a dispute arises out of or in connection with these Terms or the use of the Website (Dispute), a party must not commence any court proceedings (other than proceedings seeking urgent interlocutory relief) unless it has complied with this clause 20.
The dispute resolution process in this clause 20 also applies to any dispute arising in connection with the Platform, including (without limitation) any dispute relating to the EOI process, account access, matching, community features, or the provision of the Platform generally, unless the dispute is governed by a dispute resolution process contained in a separate agreement between you and tekFoundation (including a Membership Agreement or Volunteer Agreement), in which case that separate process prevails.
A party claiming that a Dispute has arisen must give written notice to the other party specifying the nature of the Dispute and the outcome sought (Dispute Notice).
Within fourteen (14) days after a Dispute Notice is given, the parties must use their best endeavours to resolve the Dispute by genuine negotiation between them.
If the Dispute is not resolved within the period referred to in clause 20.3, the parties agree to submit the Dispute to mediation administered by the Resolution Institute (or its successor body) in accordance with the Resolution Institute Mediation Rules in force at the time of the Dispute.
The mediator will be a person agreed upon by the parties or, failing agreement within seven (7) days after the expiry of the negotiation period, a person appointed by the Resolution Institute.
The costs of the mediation (excluding each party's own legal costs, which each party will bear) will be borne equally by the parties.
The mediation will be held in New South Wales, Australia, unless the parties agree otherwise.
If the Dispute is not resolved within thirty (30) days after the appointment of the mediator (or such longer period as the parties may agree in writing), either party may commence court proceedings in respect of the Dispute.
Nothing in this clause 20 prevents a party from seeking urgent injunctive or interlocutory relief from a court of competent jurisdiction where that party reasonably considers such relief is necessary to protect its rights.
All communications and documents exchanged in the course of the negotiation and mediation process are confidential and may not be disclosed to any third party or used in any subsequent proceedings, except as required by law or to enforce any settlement agreement reached.
Despite the existence of a Dispute, each party must continue to perform its obligations under these Terms (to the extent not the subject of the Dispute) pending resolution of the Dispute.
Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of New South Wales, Australia.
You irrevocably submit to the non-exclusive jurisdiction of the courts of New South Wales, Australia, and any courts entitled to hear appeals from those courts, in respect of any proceedings arising out of or in connection with these Terms.
